TERMS & CONDITIONS


GV (hereinafter referred to as "SELLER") expressly warrants the product manufactured by Seller and the components thereof to be free from defects in material and workmanship, under normal conditions, for a period of 365 days. Seller will repair or replace, at its option, any parts found defective by Seller. This warranty is null and void if another party, to this display, performs any repairs or alterations. There are no warranties including the implied warranty of merchantability beyond the express warranty specifically set forth herein.

Purchaser agrees to all specifications, plans and drawings submitted to Seller as of date of this contract. Location is responsibility of the Purchaser. All material is warranted solely as set forth above. All work to be completed in a substantial workmanlike manner per standard practices. Any alteration or deviation from above specifications involving extra costs will be executed only upon written orders and will become an extra charge over and above the total stated on this agreement as a change order to originally agreed upon scope of work. Contract shall be binding upon Seller only when signed by a Corporate Officer.

Purchaser agrees to pay all additional costs of product or installation caused by any structural changes, deviations, deletions or inaccurate information provided by the Purchaser including its agents, representatives or assigns. Purchaser agrees that Seller, its agents, representatives or assigns shall not be liable for any changes or alterations required at the location where product is installed.

It is expressly agreed this contract shall not be construed to be a conditional sale in any part thereof. Upon signed acceptance of Purchaser, this contract shall become binding upon the heirs, administrators, executors, assignees and successors of the undersigned. Purchaser agrees to pay all costs, including attorney's fees, incurred in enforcing any of the Seller’s rights under this contract. Purchaser is responsible for carrying any and all insurance of product.

ECONOMIES OF SCALE: Client understands that this proposal is based on the scope as an entire body of work and that all locations must proceed at the same schedule. Under no circumstance may different areas be broken out for individual processing or completion at different dates.

PERMITS & SERVICES: Installation work hours will be from 6am to 2:30pm, any hours outside will require Overtime premium. Permits, acquisition, engineering and any 'Third Party' inspections (QAA) (if required) will be billed separately unless expressly noted in deliverables.

DESIGN SERVICES: Architectural drawings to be provided in pdf format, all logos/branding must be provided in vector (.eps or .ai) format. Final deliverables will be provided in pdf format. Additional Services are those not included in the outlined project phases or included sign types and require written authorization by Client. All drawings and designs developed are the intellectual property of GV. Revisions of design, messaging, sign location outside of what is specifically detailed in scope is not included. Client will be notified and extra rounds available at posted rate. Additional Scope available at hourly rates of: Principal $225 / Project Leader $175 / Design Team Member $150

TERMS OF PAYMENT: 50% Deposit at start of work, remainder 50% balance prior to shipping OR at completion of installation/service phase unless otherwise agreed in writing. Any unpaid balance shall incur interest at 1% per month.

FORCE MAJEURE: Seller shall not be liable for delays due to events beyond Seller's control. Events including, but not limited to, acts of God, civil commotion, labor dispute strikes, fire, flood, government regulation, and weather conditions. 

INSTALLATION: If required, Purchaser is responsible to bring electrical feed wires of suitable capacity and approved type to all locations of transformers in or at the display at the time of installation. Purchaser will provide any landscaping or underground including but not limited to planting, sprinkler pipes, on-site underground utilities, asphalt, sidewalks or curbing. Location and re-routing of all underground equipment, not located through Digsafe are Buyer's responsibility. The excavation of caliche, rock, hard pan, water or unusual soil conditions are to be performed on a time and material basis at cost unless otherwise agreed to in writing by both Seller and Purchaser.

PUBLICITY & ASSOCIATION: Client agrees and allows GV to use client name, project and images/video of completed work for marketing purposes and public view on website and other public forums after completion of installation

INDEMNIFICATION: The client will indemnify and hold harmless GV Group, its officers, directors, employees and agents that have contributed information to or provided services for this project, against any and all direct or indirect losses, claims, demands, expenses (including attorney’s fees and court costs) or liabilities of any kind arising in connection thereof.

This contract represents the entire agreement between the Seller and the Purchaser. It is understood that no representative of the Seller has any power to change, modify, waive or amend the terms of this agreement. Neither will be bound by any such change unless agreed to in writing and signed by both parties.
